Terms of Service

1. Acceptance of Terms

By accessing or using Magic Import, installing our WordPress plugin, or completing a signup flow, you confirm that you:

• Are at least 18 years old or have legal capacity to enter into these Terms
• Have authority to bind your organization if you use Magic Import on behalf of a company
• Agree to comply with these Terms, our Privacy Policy, and plan-specific limitations published on the Pricing page

2. Accounts, Access, and Security

• Account accuracy: Provide current, complete information and keep your credentials confidential. You are responsible for all activity under your account.
• Single-license use: Each Magic Import license key is tied to one account or business. Sharing keys publicly or reselling access is prohibited.
• Security notifications: Tell us immediately at support@magicimport.ai if you suspect unauthorized access.
• Suspension: We may suspend accounts that violate security rules, exceed plan limits, or threaten service stability.

3. Subscriptions, Billing, and Credits

• Plan tiers: Usage limits, AI providers, and features are defined on our Pricing page and may differ between Lite and Pro offerings.
• Billing: Paid subscriptions renew automatically at the interval you selected until canceled. Stripe processes payments on our behalf.
• Usage credits: Each document processed counts toward your monthly credits. Clearing usage history while an active subscription exists is not permitted and will fail for security reasons.
• Cancellation: You may cancel at any time from the Billing tab. Cancellations take effect at the end of the current billing period; we do not offer refunds for partial periods unless required by law.
• Upgrades & downgrades: When you change plans we update Stripe immediately, and credits adjust through our webhook-driven billing sync.

4. Document Processing and Privacy

Our zero-storage handling and AI routing are explained in detail in the Privacy Policy. In addition, you understand and agree that:

• Documents are transmitted through our managed Anthropic Claude and Google Gemini stack. We never use documents to train models.
• Processed documents are deleted immediately after extraction; metadata about usage is retained for billing, support, and compliance records.
• You are responsible for obtaining consent from end users whose data you submit to Magic Import.
• We may run automated filtering (PCI/DLP) to block prohibited content before or after AI processing.

5. Acceptable Use Requirements

You agree not to:

• Upload malware, offensive content, or documents you do not have rights to process
• Attempt to reverse engineer, scrape, or bypass rate limits, security controls, or licensing checks
• Use Magic Import for high-risk activities (financial disclosures, medical diagnoses, PCI data) unless your plan explicitly supports that workflow
• Reproduce our service or build a competing dataset using output generated by Magic Import

6. Service Availability & Support

• Uptime: We strive for high availability but do not guarantee uninterrupted access. Scheduled maintenance or provider outages may disrupt service.
• Support: Paid plans include email support through the customer portal. Response times vary by plan tier.
• Beta features: Experimental features may be added or removed at any time.

7. Intellectual Property

• All software, documentation, and branding for Magic Import are owned by Memory AI, Inc. and protected by intellectual property laws.
• You retain ownership of your documents, extracted data, and form content. We claim no rights to your content beyond the limited license needed to process it.
• Feedback you share may be used to improve the product without obligation to you.

8. Disclaimers and Limitation of Liability

Magic Import is provided "as is" and "as available." To the fullest extent allowed by law, we disclaim:

• Any implied warranties of merchantability, fitness for a particular purpose, or non-infringement
• Liability for loss of profits, revenue, data, or indirect, special, consequential damages

Our total liability for any claim arising out of these Terms will not exceed the amounts you paid to us in the 12 months before the claim (or $100 if you use the free tier).

9. Indemnification

You agree to defend and indemnify Memory AI, Inc., its officers, and employees against claims arising from your content, your violation of these Terms, or your misuse of the service.

10. Governing Law and Disputes

• These Terms are governed by the laws of the State of Utah, USA, without regard to conflict-of-law principles.
• Disputes will be resolved in the state or federal courts located in Utah, and both parties consent to that venue.
• Nothing prevents either party from seeking injunctive relief to protect intellectual property or confidential information.

11. Changes, Termination, and Survival

• We may update these Terms by posting a revised version with a new "Last Updated" date. Continued use after changes become effective constitutes acceptance.
• We may terminate or suspend access if you violate these Terms, fail to pay, or create risk or legal exposure for Magic Import.
• Sections covering ownership, confidentiality, disclaimers, limitation of liability, and governing law survive termination.
